TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your use of the Hypnos Foundation website (the “Website”) and any request, inquiry, or booking you make with us for entertainment services (“Services”). By accessing the Website or submitting a request, you agree to these Terms.

1. About us

“Hypnos Foundation, “we”, “us”, or “our” refers to the operator of this Website and the party that coordinates and/or provides entertainment Services through artists, performers, or partners (“Artists”).

2. Using the website

  • You may use the Website only for lawful purposes and in a way that does not infringe the rights of others.
  • You must not attempt to interfere with the Website’s security or operation (e.g., hacking, scraping, abusive traffic).
  • We may update, suspend, or discontinue parts of the Website at any time.

3. Requests, inquiries, and availability

  • Submitting a request via the “Make a Request” form does not create a binding booking.
  • All Services are subject to Artist availability, travel feasibility, venue suitability, and confirmation by us in writing.
  • We may ask for additional details (event schedule, venue constraints, technical requirements) to confirm availability.

4. Quotes and payment

  • Any quote we provide is valid for the period stated in the quote (or a reasonable time if not stated).
  • To secure a booking, we may require a signed agreement.
  • Unless otherwise agreed in writing, final payment is due before the event date.
  • You are responsible for any bank fees, currency conversion costs, and applicable taxes/withholding unless agreed otherwise.

5. Changes, cancellations, and rescheduling

Because live event preparation involves time, travel planning, and opportunity costs, cancellations and rescheduling may incur fees. Specific terms (including timelines and percentages) will be stated in your booking confirmation or service agreement.

  • Client-initiated changes (time, location, scope, Artist lineup) may affect pricing and availability.
  • If an event is postponed, we will attempt to reschedule, subject to Artist availability.

6. Artist substitutions

If an Artist becomes unavailable due to illness, travel disruption, emergency, or other circumstances beyond our reasonable control, we may (a) propose a suitable replacement of comparable level, (b) offer alternative options, or (c) refund amounts paid for the unavailable portion of the Services, as appropriate.

7. Venue and technical requirements

  • You are responsible for ensuring the venue is safe, accessible, and suitable for the Services.
  • You must provide accurate details about space, power, sound limits, permits, and schedule constraints.
  • If the Artist is prevented from performing due to venue conditions or missing requirements, the booking may still be chargeable.

8. Client responsibilities

  • Provide truthful and complete information in all communications.
  • Ensure appropriate event insurance where required.
  • Ensure guests and staff behave safely and respectfully toward Artists and equipment.
  • Follow reasonable instructions from Artists regarding safety and performance flow.

9. Intellectual property and media

  • Website content (text, design, graphics, logos, videos) is owned by us or our licensors and is protected by intellectual property laws.
  • You may not copy, reproduce, or redistribute Website content without prior written permission, except where permitted by law.
  • Event recording/photography rules (including commercial use) may be stated in your agreement and/or Artist rider.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages (including loss of profits, loss of business, or loss of goodwill). Our total liability relating to the Services is limited to the amounts you paid to us for the specific booking giving rise to the claim.

11. Force majeure

We are not responsible for delays or failure to perform due to events beyond our reasonable control, including (without limitation) natural disasters, severe weather, government actions, strikes, power outages, transport disruptions, or public health emergencies. In such cases, we will work with you in good faith to find a reasonable solution.

12. Privacy

Our handling of personal data is described in our Privacy Policy.

13. Governing law

Unless otherwise required by mandatory law, these Terms are governed by the laws of Bulgaria, and disputes will be subject to the competent courts in Bulgaria.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top indicates when changes were last made. Continued use of the Website after changes means you accept the updated Terms.
